Contrato de servicio profesional puntual
CONSULTA AMPLIADA — 200 € / 90 min
Versión modificada tras la actualización del servicio, su duración y su precio. Este contrato regula exclusivamente el servicio profesional puntual descrito en la cláusula 3. No constituye una suscripción a Metamorphose Circle, ni incluye acceso a su plataforma, comunidad, lecciones o servicios de mentoría continuada.
1.- Identificación de las partes y contratación
De una parte, METAMORPHOSE AM 2023 SL, sociedad de responsabilidad limitada constituida conforme al Derecho español, con domicilio social en Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688, NIF B13908975, inscrita en el Registro Mercantil de Málaga, tomo 6364, folio 89, hoja MA-175364, y correo electrónico anastasia@metamorphose.gallery (en adelante, Metamorphose).
De otra, la persona física o jurídica que contrata y abona el servicio, cuyos datos constan en el pedido (en adelante, el Cliente).
El contrato se celebra a distancia cuando el Cliente confirma el pedido y Metamorphose acepta la contratación tras verificarse la autorización del pago. Antes de efectuar el pedido, el Cliente deberá poder consultar y descargar estas condiciones, identificar y corregir errores en los datos facilitados y conocer de forma clara el precio total, los servicios incluidos, el plazo de prestación y las condiciones de desistimiento.
2.- Naturaleza independiente del servicio
Este servicio es profesional, puntual e independiente de Metamorphose Circle. El pago se tramita separadamente a través del sitio web de Metamorphose y del proveedor de pagos habilitado.
El servicio no constituye ni incluye:
- suscripción o membresía de Metamorphose Circle;
- acceso a la plataforma, comunidad o lecciones de Circle;
- mentoría continuada, seguimiento periódico o acompañamiento posterior;
- representación artística, intermediación, promoción o gestión de ventas;
- ningún servicio distinto de los expresamente descritos en la cláusula 3.
3.- Objeto y alcance del servicio
Metamorphose prestará al Cliente una consulta individual ampliada de hasta 90 minutos, concebida para explorar con mayor profundidad varias cuestiones profesionales relacionadas entre sí.
Durante la sesión podrán revisarse, según las necesidades del Cliente:
- su situación profesional actual, portfolio, precios, posicionamiento y estrategia frente a galerías;
- los próximos pasos profesionales; y
- otras cuestiones relacionadas que requieran un análisis más profundo, con mayor tiempo para el intercambio y la formulación de recomendaciones prácticas.
El servicio está concebido para artistas para quienes una sola cuestión concreta no resulta suficiente, pero que todavía no requieren una revisión de estrategia profesional completa. Se limita a la consulta y orientación profesional en el ámbito artístico y del mercado del arte, conforme a la información y, cuando proceda, los materiales facilitados por el Cliente. Queda excluido cualquier trabajo adicional, revisión de estrategia profesional completa, elaboración de una estrategia escrita, redacción de materiales, ejecución de recomendaciones o asistencia posterior, salvo contratación escrita independiente.
Las observaciones y recomendaciones formuladas durante la consulta se basarán en el criterio profesional de Metamorphose y en la información disponible en ese momento. No constituyen instrucciones obligatorias ni sustituyen la decisión independiente del Cliente.
4.- Precio, impuestos y pago
El precio total del servicio es de 200 euros, que constituye el importe final que se mostrará al Cliente antes de confirmar la contratación. La tributación y facturación se practicarán conforme a la normativa fiscal aplicable a la operación concreta y a la condición y residencia fiscal del Cliente.
El pago se realizará por anticipado a través de Stripe u otro proveedor de pago que se indique durante el proceso de compra. Metamorphose no almacenará los datos completos de las tarjetas bancarias cuando el proveedor de pago los procese directamente.
El inicio del servicio queda condicionado a la confirmación efectiva del pago y, cuando resulte necesario para preparar la consulta, a la recepción de la información o materiales previstos en la cláusula 5.
5.- Información y colaboración del Cliente
El Cliente deberá facilitar, dentro de un plazo razonable, la información y, cuando proceda, los materiales que Metamorphose solicite para preparar la consulta, incluidos, según el tema que se vaya a tratar, portfolio, imágenes de obras, biografía, currículum, objetivos profesionales, información sobre precios u otra documentación relevante.
El Cliente declara que la información facilitada es sustancialmente exacta y que dispone de los derechos, autorizaciones o legitimación necesarios para compartir con Metamorphose las obras, imágenes, textos y demás materiales remitidos. El Cliente no solicitará a Metamorphose ningún uso ilícito de materiales de terceros.
Si la información o los materiales necesarios para preparar la consulta son incompletos, insuficientes o se entregan con retraso, el plazo de prestación podrá quedar suspendido hasta su recepción. Metamorphose podrá requerir aclaraciones razonables; la falta de respuesta del Cliente podrá impedir o limitar la consulta, sin que Metamorphose responda de las consecuencias derivadas de dicha falta de colaboración.
6.- Inicio, ejecución y entrega
El servicio se considerará iniciado cuando Metamorphose reciba el pago confirmado y, cuando proceda, la información o los materiales razonablemente necesarios para preparar la consulta.
Metamorphose celebrará la sesión individual en un plazo de entre 3 y 5 días laborables desde ese inicio, salvo retraso imputable al Cliente, caso fortuito, fuerza mayor o necesidad razonable de reprogramación conforme a la cláusula 9.
El servicio se considerará completado con la celebración de la sesión individual, o cuando esta se tenga por realizada conforme a la cláusula 9.
7.- Derecho de desistimiento del consumidor
El Cliente que contrate como consumidor dispone, con carácter general, de un plazo de 14 días naturales desde la celebración del contrato para desistir sin necesidad de justificar su decisión, mediante una declaración inequívoca remitida a anastasia@metamorphose.gallery. Podrá utilizar, si lo desea, el formulario incluido en el Anexo I.
Si el Cliente solicita expresamente que el servicio comience antes de que finalice dicho plazo, Metamorphose podrá iniciarlo tras recabar, en una manifestación separada de la aceptación del contrato: (i) la solicitud expresa de inicio inmediato; y (ii) el reconocimiento de que, si el servicio queda completamente ejecutado, perderá el derecho de desistimiento.
Mientras el servicio se hubiera iniciado válidamente a solicitud expresa del Cliente pero no esté completamente ejecutado, el desistimiento podrá ejercitarse con las consecuencias económicas legalmente previstas, incluido, cuando proceda, el pago de la parte proporcional del servicio ya prestado. Si el servicio se completa dentro del plazo de desistimiento y concurren las manifestaciones expresas exigibles, el derecho de desistimiento quedará extinguido en los términos legalmente aplicables.
Metamorphose remitirá al Cliente una confirmación contractual en soporte duradero que incluirá la información sobre desistimiento y, cuando proceda, la constancia de las manifestaciones indicadas.
8.- Cancelación contractual y reembolsos
La cancelación contractual es distinta del derecho legal de desistimiento regulado en la cláusula 7 y no lo limita.
El Cliente podrá solicitar la cancelación y devolución íntegra del precio hasta el momento en que se inicie efectivamente el servicio conforme a la cláusula 6.
Una vez iniciado el servicio, no procederá el reembolso por la mera decisión unilateral del Cliente de no continuar o de no utilizar el servicio, salvo que ejercite válidamente el derecho de desistimiento o concurra un supuesto legal de resolución, falta de conformidad, incumplimiento imputable a Metamorphose o cobro indebido. En tales supuestos se aplicarán los remedios y reembolsos exigidos por la normativa aplicable.
Si Metamorphose no pudiera prestar el servicio por causa imputable exclusivamente a ella y no ofreciera, dentro de un plazo razonable, una solución o reprogramación adecuada, el Cliente tendrá derecho a los remedios legalmente procedentes respecto de la parte no prestada.
9.- Programación y reprogramación de la sesión
La sesión individual se programará de mutuo acuerdo. El Cliente podrá solicitar su reprogramación hasta un máximo de dos veces, siempre que lo comunique con al menos 24 horas de antelación respecto de la fecha y hora fijadas.
La cancelación comunicada con menos de 24 horas de antelación o la inasistencia injustificada del Cliente podrá determinar que la sesión se tenga por realizada exclusivamente a efectos del componente de sesión individual incluido en el servicio. Esta regla no se aplicará cuando el Cliente acredite fuerza mayor, enfermedad u otra circunstancia excepcional razonablemente justificada.
Cuando sea Metamorphose quien deba aplazar la sesión por enfermedad, fuerza mayor u otra circunstancia profesional inevitable, propondrá una fecha alternativa razonable, sin perjuicio de los derechos legales del Cliente.
10.- Ausencia de garantía de resultados
Metamorphose se obliga a prestar el servicio con la diligencia profesional exigible conforme al objeto contratado, pero no garantiza resultados artísticos, comerciales, económicos, institucionales o profesionales.
En particular, el servicio no garantiza ventas de obra, ingresos, representación por Metamorphose o por cualquier otra galería, exposiciones, inclusión en catálogos o ferias, cobertura de prensa, presentación o introducción ante coleccionistas, comisarios o galerías, becas, premios ni reconocimiento profesional.
11.- Separación respecto de la Galería Metamorphose
La contratación del servicio no crea relación de representación artística, agencia, intermediación, exclusividad ni preferencia del Cliente respecto de la Galería Metamorphose.
El servicio no concede derecho alguno a ser seleccionado para exposiciones, ferias, catálogos, adquisiciones, ventas, presentaciones o cualesquiera otros proyectos de la galería. Toda posible colaboración u oportunidad futura requerirá una valoración independiente y, en su caso, un acuerdo separado.
12.- Naturaleza de la orientación
La orientación prestada es exclusivamente profesional en el ámbito artístico y del mercado del arte. No constituye asesoramiento jurídico, fiscal, financiero, contable o de inversión.
El Cliente conserva la responsabilidad exclusiva sobre sus decisiones artísticas, empresariales, comerciales, fiscales, jurídicas, financieras y de inversión, así como sobre la implementación de las recomendaciones recibidas.
13.- Propiedad intelectual y materiales
Los métodos, marcos de trabajo, estrategias, plantillas, documentos, contenidos y demás materiales propios de Metamorphose utilizados o entregados durante el servicio son de su titularidad o se usan con autorización. El Cliente recibe únicamente una licencia personal, no exclusiva, no transferible y no sublicenciable para utilizar los entregables del servicio para su propio desarrollo profesional.
Sin autorización previa y escrita de Metamorphose, el Cliente no podrá publicar, reproducir para terceros, comercializar, redistribuir, transformar para crear productos o servicios equivalentes, ni utilizar como material formativo o de mentoría las metodologías, plantillas o materiales entregados, sin perjuicio de que pueda aplicar libremente a su propia práctica profesional las recomendaciones recibidas.
El Cliente conserva los derechos sobre las obras, imágenes, textos, portfolio y demás materiales propios que facilite. Concede a Metamorphose una autorización limitada, no exclusiva y gratuita para utilizarlos exclusivamente en la medida necesaria para prestar el servicio. Metamorphose no podrá emplearlos con fines promocionales, publicitarios o de publicación sin autorización expresa y separada del Cliente.
14.- Confidencialidad
Metamorphose tratará como confidencial la información no pública facilitada por el Cliente en relación con el servicio, incluidos obras y proyectos no publicados, portfolio, estrategias, precios e información comercial sensible.
Esta obligación no alcanza a información que sea pública sin infracción de este contrato, que ya fuera conocida legítimamente por Metamorphose, que haya sido recibida lícitamente de un tercero sin deber de reserva o cuya revelación sea exigida por una norma, requerimiento administrativo o resolución judicial. La obligación de confidencialidad se mantendrá durante tres años desde la finalización del servicio.
15.- Datos personales
Los datos personales del Cliente se tratarán conforme a la Política de Privacidad de Metamorphose, disponible antes de contratar, para gestionar la contratación, prestar el servicio, atender comunicaciones e incidencias, cumplir obligaciones legales y gestionar eventuales reclamaciones.
El proveedor de pago procesará los datos necesarios para tramitar el pago conforme a su propia política de privacidad y a la relación contractual aplicable. Metamorphose facilitará al Cliente los medios de contacto necesarios para ejercer sus derechos en materia de protección de datos y para presentar, en su caso, reclamación ante la Agencia Española de Protección de Datos.
16.- Responsabilidad
Metamorphose responderá de los daños directos y previsibles que sean consecuencia de un incumplimiento imputable de sus obligaciones contractuales, dentro de los límites permitidos por la normativa aplicable.
Metamorphose no responderá de daños indirectos, pérdida de oportunidades, lucro cesante, pérdida de ingresos, decisiones adoptadas por el Cliente, resultados no garantizados ni perjuicios derivados de información incompleta, inexacta o ilícitamente facilitada por el Cliente, salvo que una disposición imperativa establezca otra cosa.
Nada de lo previsto en este contrato excluye o limita la responsabilidad por dolo ni los derechos irrenunciables que correspondan al Cliente consumidor, incluidos los derechos de desistimiento, conformidad, resolución, reducción del precio o reembolso en los casos legalmente previstos.
17.- Reclamaciones, ley aplicable y jurisdicción
El Cliente podrá formular consultas, incidencias o reclamaciones mediante correo electrónico dirigido a anastasia@metamorphose.gallery o por escrito a Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688. Metamorphose acusará recibo y responderá en el plazo legalmente aplicable.
Si Metamorphose estuviera adherida a una entidad de resolución alternativa de litigios de consumo, identificará esa entidad y facilitará la información legalmente exigible. La falta de adhesión voluntaria no limita los derechos del Cliente a utilizar los mecanismos de reclamación o resolución extrajudicial legalmente disponibles.
El contrato se rige por el Derecho español, sin perjuicio de las normas imperativas de protección que pudieran corresponder al Cliente consumidor en su lugar de residencia habitual. Cuando el Cliente sea consumidor, las controversias se someterán a los órganos jurisdiccionales competentes conforme a las normas imperativas aplicables, sin renuncia a los fueros de protección legalmente establecidos.
18.- Integridad y modificación
El presente contrato, la información del pedido y las condiciones particulares que, en su caso, se acepten expresamente constituyen el acuerdo completo entre las partes respecto del servicio contratado. Cualquier ampliación o modificación del alcance deberá constar por escrito y ser expresamente aceptada por ambas partes.
La nulidad o ineficacia de alguna cláusula no afectará a la validez de las restantes. La cláusula afectada se interpretará o sustituirá, cuando proceda, por otra válida que respete en la mayor medida posible su finalidad legítima y los derechos imperativos aplicables.

Anexo II.- Requisitos de contratación y ejecución
Antes de publicar o utilizar el contrato, Metamorphose deberá:
- completar la identificación societaria, los datos de contacto y las direcciones para desistimiento y reclamaciones;
- mostrar antes del pago el objeto exacto, el precio final, impuestos aplicables, plazo de prestación, medios de pago, desistimiento y reglas de reprogramación;
- emplear un botón final que indique sin ambigüedad la obligación de pago;
- recabar y conservar, en casillas separadas, la aceptación de las condiciones, la solicitud de inicio inmediato y el reconocimiento de las consecuencias legales sobre el desistimiento tras la completa ejecución;
- remitir una confirmación por correo electrónico, en soporte duradero, con el contrato, el resumen del pedido, la información de desistimiento y el formulario correspondiente;
- no comenzar el servicio antes de recibir toda la información y materiales necesarios del Cliente, salvo que quede documentada la limitación de alcance derivada de la falta de colaboración;
- configurar la facturación y los impuestos conforme a la condición y residencia fiscal de cada Cliente y a la normativa tributaria aplicable;
- garantizar que la página de venta, los anuncios y las comunicaciones comerciales no prometan ventas, representación, exposiciones o resultados incompatibles con las cláusulas 10 y 11.

METAMORPHOSE
One-off Professional Service Agreement
EXTENDED CONSULTATION — €200 / 90 min

This agreement exclusively governs the one-off professional service described in Clause 3. It does not constitute a subscription to Metamorphose Circle and does not include access to its platform, community, lessons or ongoing mentoring services.
1.- Identification of the parties and contracting
On the one part, METAMORPHOSE AM 2023 SL, a limited liability company incorporated under Spanish law, with registered office at Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688, NIF B13908975, registered with the Málaga Commercial Registry, volume 6364, folio 89, sheet MA-175364, and email address anastasia@metamorphose.gallery (hereinafter, Metamorphose).
On the other part, the natural or legal person who purchases and pays for the service, whose details are set out in the order (hereinafter, the Client).
The agreement is concluded at a distance when the Client confirms the order and Metamorphose accepts the purchase after payment authorisation has been verified. Before placing the order, the Client must be able to consult and download these terms, identify and correct errors in the information provided, and clearly know the total price, the services included, the performance period and the withdrawal conditions.
2.- Independent nature of the service
This is a professional, one-off service independent of Metamorphose Circle. Payment is processed separately through the Metamorphose website and the enabled payment provider.
The service does not constitute or include:
- a subscription or membership of Metamorphose Circle;
- access to the Circle platform, community or lessons;
- ongoing mentoring, periodic follow-up or subsequent support;
- artist representation, intermediation, promotion or sales management;
- any service other than those expressly described in Clause 3.
3.- Purpose and scope of the service
Metamorphose will provide the Client with an individual extended consultation of up to 90 minutes, designed to explore several related professional questions in greater depth.
During the session, depending on the Client’s needs, the following may be reviewed:
- their current professional situation, portfolio, pricing, positioning and gallery strategy;
- professional next steps; and
- other related questions requiring deeper analysis, with more time for discussion and practical recommendations.
The service is designed for artists for whom a single focused question is not enough, but who do not yet require a full professional strategy review. It is limited to professional consultation and guidance in the artistic field and the art market, based on the information and, where applicable, materials provided by the Client. Any additional work, full professional strategy review, preparation of a written strategy, drafting of materials, implementation of recommendations or subsequent assistance is excluded unless separately agreed in writing.
The observations and recommendations made during the consultation will be based on Metamorphose’s professional judgement and the information available at that time. They do not constitute mandatory instructions and do not replace the Client’s independent decision-making.
4.- Price, taxes and payment
The total price of the service is €200, which is the final amount that will be shown to the Client before confirming the purchase. Taxation and invoicing will be handled in accordance with the tax rules applicable to the specific transaction and the Client’s status and tax residence.
Payment must be made in advance through Stripe or another payment provider indicated during the purchase process. Metamorphose will not store complete bank card details where the payment provider processes them directly.
The start of the service is conditional upon effective confirmation of payment and, where necessary to prepare the consultation, receipt of the information or materials referred to in Clause 5.
5.- Information and cooperation of the Client
The Client must provide, within a reasonable period, the information and, where applicable, materials requested by Metamorphose to prepare the consultation, including, depending on the topic to be discussed, a portfolio, images of works, biography, CV, professional objectives, pricing information or other relevant documentation.
The Client declares that the information provided is substantially accurate and that they have the necessary rights, authorisations or legal basis to share with Metamorphose the works, images, texts and other materials submitted. The Client shall not request that Metamorphose make any unlawful use of third-party materials.
If the information or materials necessary to prepare the consultation are incomplete, insufficient or provided late, the performance period may be suspended until they are received. Metamorphose may request reasonable clarifications; failure by the Client to respond may prevent or limit the consultation, and Metamorphose shall not be liable for consequences arising from such lack of cooperation.
6.- Start, performance and completion
The service will be deemed to have started when Metamorphose has received confirmed payment and, where applicable, the information or materials reasonably necessary to prepare the consultation.
Metamorphose will hold the individual session within 3 to 5 business days from that start date, except in the event of delay attributable to the Client, unforeseen circumstances, force majeure or a reasonable need to reschedule in accordance with Clause 9.
The service will be deemed completed when the individual session has taken place, or when it is deemed to have taken place pursuant to Clause 9.
7.- Consumer right of withdrawal
A Client contracting as a consumer generally has a period of 14 calendar days from the conclusion of the agreement to withdraw without having to give any reason, by sending an unequivocal statement to anastasia@metamorphose.gallery. The Client may, if they wish, use the form included in Annex I.
If the Client expressly requests that the service begin before the end of that period, Metamorphose may start the service after obtaining, in a statement separate from acceptance of the agreement: (i) the express request for immediate commencement; and (ii) acknowledgement that, if the service is fully performed, the Client will lose the right of withdrawal.
Where the service has validly begun at the Client’s express request but has not yet been fully performed, the right of withdrawal may be exercised subject to the financial consequences provided by law, including, where applicable, payment of the proportionate part of the service already provided. If the service is completed within the withdrawal period and the required express declarations have been made, the right of withdrawal will be extinguished in accordance with the applicable law.
Metamorphose will send the Client contractual confirmation on a durable medium, including information on the right of withdrawal and, where applicable, a record of the statements referred to above.
8.- Contractual cancellation and refunds
Contractual cancellation is distinct from the statutory right of withdrawal governed by Clause 7 and does not limit that right.
The Client may request cancellation and a full refund of the price up to the point at which the service effectively begins in accordance with Clause 6.
Once the service has begun, no refund will be due merely because the Client unilaterally decides not to continue or not to use the service, unless the Client validly exercises the right of withdrawal or there is a statutory ground for termination, lack of conformity, breach attributable to Metamorphose or an improper charge. In such cases, the remedies and refunds required by applicable law will apply.
If Metamorphose is unable to provide the service for a reason exclusively attributable to it and does not offer, within a reasonable period, an appropriate solution or rescheduling, the Client will be entitled to the remedies provided by law in respect of the unprovided part of the service.
9.- Scheduling and rescheduling of the session
The individual session will be scheduled by mutual agreement. The Client may request rescheduling up to a maximum of two times, provided that at least 24 hours’ notice is given before the agreed date and time.
A cancellation notified less than 24 hours in advance or an unjustified failure by the Client to attend may result in the session being deemed to have taken place solely for the purposes of the individual-session component included in the service. This rule will not apply where the Client demonstrates force majeure, illness or another reasonably justified exceptional circumstance.
Where Metamorphose must postpone the session due to illness, force majeure or another unavoidable professional circumstance, it will propose a reasonable alternative date, without prejudice to the Client’s statutory rights.
10.- No guarantee of results
Metamorphose undertakes to provide the service with the professional diligence required in light of the contracted purpose, but does not guarantee artistic, commercial, financial, institutional or professional results.
In particular, the service does not guarantee sales of artworks, income, representation by Metamorphose or any other gallery, exhibitions, inclusion in catalogues or fairs, press coverage, presentation or introduction to collectors, curators or galleries, grants, awards or professional recognition.
11.- Separation from Metamorphose Gallery
Purchasing the service does not create any relationship of artist representation, agency, intermediation, exclusivity or preferential treatment for the Client in relation to Metamorphose Gallery.
The service does not grant any right to be selected for exhibitions, fairs, catalogues, acquisitions, sales, presentations or any other gallery projects. Any possible future collaboration or opportunity will require an independent assessment and, where applicable, a separate agreement.
12.- Nature of the guidance
The guidance provided is exclusively professional guidance in the artistic field and the art market. It does not constitute legal, tax, financial, accounting or investment advice.
The Client retains sole responsibility for their artistic, business, commercial, tax, legal, financial and investment decisions, as well as for implementing any recommendations received.
13.- Intellectual property and materials
The methods, frameworks, strategies, templates, documents, content and other proprietary materials of Metamorphose used or delivered during the service are owned by Metamorphose or used with authorisation. The Client receives only a personal, non-exclusive, non-transferable and non-sublicensable licence to use the service deliverables for their own professional development.
Without Metamorphose’s prior written authorisation, the Client may not publish, reproduce for third parties, commercialise, redistribute, transform to create equivalent products or services, or use as training or mentoring material the methodologies, templates or materials delivered, without prejudice to the Client’s freedom to apply the recommendations received to their own professional practice.
The Client retains the rights to the works, images, texts, portfolio and other materials they provide. The Client grants Metamorphose a limited, non-exclusive and royalty-free authorisation to use them solely to the extent necessary to provide the service. Metamorphose may not use them for promotional, advertising or publication purposes without the Client’s express and separate authorisation.
14.- Confidentiality
Metamorphose will treat as confidential the non-public information provided by the Client in connection with the service, including unpublished works and projects, portfolio, strategies, pricing and commercially sensitive information.
This obligation does not apply to information that is public without breach of this agreement, was already lawfully known to Metamorphose, was lawfully received from a third party without a duty of confidentiality, or must be disclosed pursuant to law, an administrative requirement or a court order. The confidentiality obligation will remain in force for three years following completion of the service.
15.- Personal data
The Client’s personal data will be processed in accordance with Metamorphose’s Privacy Policy, made available before contracting, for the purposes of managing the purchase, providing the service, handling communications and incidents, complying with legal obligations and managing any claims.
The payment provider will process the data necessary to handle payment in accordance with its own privacy policy and the applicable contractual relationship. Metamorphose will provide the Client with the necessary contact channels to exercise their data-protection rights and, where applicable, to lodge a complaint with the Spanish Data Protection Agency.
16.- Liability
Metamorphose will be liable for direct and foreseeable damage resulting from a breach of its contractual obligations attributable to Metamorphose, within the limits permitted by applicable law.
Metamorphose will not be liable for indirect damage, loss of opportunities, loss of profits, loss of income, decisions made by the Client, non-guaranteed results or harm arising from incomplete, inaccurate or unlawfully provided information from the Client, unless mandatory law provides otherwise.
Nothing in this agreement excludes or limits liability for wilful misconduct or any non-waivable rights of a consumer Client, including rights of withdrawal, conformity, termination, price reduction or refund where provided by law.
17.- Complaints, applicable law and jurisdiction
The Client may submit enquiries, report issues or make complaints by email to anastasia@metamorphose.gallery or in writing to Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688. Metamorphose will acknowledge receipt and respond within the legally applicable period.
If Metamorphose is affiliated with an alternative consumer dispute resolution body, it will identify that body and provide the information required by law. The absence of voluntary affiliation does not limit the Client’s rights to use any legally available complaint or out-of-court dispute resolution mechanisms.
This agreement is governed by Spanish law, without prejudice to any mandatory consumer-protection rules that may apply to the Client in their habitual place of residence. Where the Client is a consumer, disputes will be submitted to the competent courts in accordance with the applicable mandatory rules, without waiver of any legally established protective jurisdiction.
18.- Entire agreement and amendment
This agreement, the order information and any specific terms expressly accepted, where applicable, constitute the entire agreement between the parties in relation to the contracted service. Any extension or modification of the scope must be made in writing and expressly accepted by both parties.
The invalidity or unenforceability of any clause will not affect the validity of the remaining clauses. The affected clause will be interpreted or replaced, where appropriate, by a valid provision that preserves, to the greatest extent possible, its legitimate purpose and the applicable mandatory rights.

Annex II.- Contracting and performance requirements
Before publishing or using this agreement, Metamorphose must:
- complete the company identification details, contact details and addresses for withdrawal and complaints;
- display, before payment, the exact subject matter, final price, applicable taxes, performance period, payment methods, withdrawal rights and rescheduling rules;
- use a final button that unambiguously indicates the obligation to pay;
- obtain and retain, in separate checkboxes, acceptance of the terms, the request for immediate commencement and acknowledgement of the legal consequences for the right of withdrawal following full performance;
- send confirmation by email, on a durable medium, including the agreement, order summary, withdrawal information and the corresponding form;
- not begin the service before receiving all information and materials necessary from the Client, unless the limitation of scope resulting from lack of cooperation is documented;
- configure invoicing and taxes according to each Client’s status and tax residence and the applicable tax rules;
- ensure that the sales page, advertisements and commercial communications do not promise sales, representation, exhibitions or results incompatible with Clauses 10 and 11.
