METAMORPHOSE
Contrato adicional de Private Mentorship
Plan 3 — 1.500 € por mensualidad — duración inicial mínima de tres meses
Versión verificada por abogado colegiado en España. Pendiente de completar los datos identificativos de la sociedad, los canales de contacto/baja/desistimiento/reclamaciones, la configuración del checkout y la verificación fiscal final antes de su publicación (véase Anexo II).

Este contrato regula el componente de mentoría individual del Private Mentorship. Se completa con las Condiciones Generales de Metamorphose Circle, que se aplican al acceso a plataforma, contenidos digitales, comunidad, licencia de materiales, privacidad, cookies y normas generales de conducta. En caso de contradicción, este contrato prevalece exclusivamente respecto de la mentoría individual, su duración, sesiones, precio y régimen de cancelación.
1.- Partes y contratación
De una parte, METAMORPHOSE AM 2023 SL, sociedad de responsabilidad limitada constituida conforme al Derecho español, con domicilio social en Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688, NIF B13908975, inscrita en el Registro Mercantil de Málaga, tomo 6364, folio 89, hoja MA-175364, y correo electrónico anastasia@metamorphose.gallery (en adelante, Metamorphose).
De otra, la persona física o jurídica que contrata el Private Mentorship y cuyos datos constan en el pedido (en adelante, el Participante).
La contratación queda perfeccionada cuando Metamorphose acepte el pedido y se haya autorizado el primer pago. Antes de contratar, el Participante podrá consultar y descargar este contrato y las Condiciones Generales de Circle, identificar y corregir errores, y conocer el precio total de cada mensualidad, la duración mínima, las reglas de renovación, cancelación y desistimiento, y el contenido del servicio.
2.- Objeto y naturaleza del servicio
El Private Mentorship es un servicio profesional de orientación y acompañamiento individual en el ámbito artístico y del mercado del arte. Incluye el acceso a Circle en el nivel contratado durante la vigencia de la mentoría y las prestaciones personales descritas en este contrato.
El Programa comprende dos componentes diferenciados:
acceso temporal, personal y revocable a los contenidos y funcionalidades digitales de Circle que correspondan al nivel Private Mentorship; y
servicios personales de mentoría con intervención humana directa, revisión, retroalimentación y sesiones individuales.
El detalle vigente de los contenidos y espacios digitales incluidos deberá constar de forma expresa y comprensible en la página de contratación y en la confirmación del pedido. Ninguna funcionalidad o servicio no identificado expresamente forma parte del objeto contratado.
3.- Precio, impuestos y estructura de pago
La cuota es de 1.500 euros por cada mensualidad, que constituye el precio final mostrado al Participante antes de contratar, con los impuestos indirectos que legalmente correspondan incluidos en ese importe cuando así resulte aplicable.
La tributación y facturación se ajustarán a la normativa fiscal vigente, a la naturaleza de los componentes digital y personal del servicio, y a la residencia habitual y condición fiscal del Participante. Este deberá facilitar datos de residencia y facturación veraces, completos y actualizados.
El primer pago se realizará al contratar. Las cuotas sucesivas se cargarán por anticipado al inicio de cada nueva mensualidad a través de Stripe u otro proveedor de pago indicado en el proceso de compra. La fecha concreta de cada cargo, el período que cubre y el siguiente vencimiento se mostrarán antes de la contratación y en la confirmación del pedido.
Metamorphose no almacena los datos completos de tarjeta cuando sean tratados directamente por el proveedor de pagos.
4.- Duración inicial, renovación y cancelación
El Private Mentorship tiene una duración inicial mínima de tres meses, con una cuota de 1.500 euros por cada mensualidad. El compromiso económico inicial total asciende, por tanto, a 4.500 euros, facturados en tres pagos mensuales de 1.500 euros, salvo que una norma imperativa disponga otra cosa.
Durante la duración inicial, el Participante no podrá resolver libremente el contrato por la mera voluntad de dejar de utilizar el Programa, sin perjuicio del derecho de desistimiento y de los supuestos legales de resolución, falta de conformidad o incumplimiento imputable a Metamorphose. La falta de uso, asistencia o aprovechamiento del servicio no elimina por sí sola las cantidades ya devengadas.
Una vez transcurridos los tres meses iniciales, el contrato se renovará por mensualidades sucesivas. El Participante podrá cancelar la renovación en cualquier momento, por el área de usuario [RUTA DE BAJA] o mediante comunicación a anastasia@metamorphose.gallery, siempre antes del inicio de la siguiente mensualidad. La cancelación surtirá efecto al finalizar el período ya abonado y no generará penalización.
No se iniciará un nuevo compromiso mínimo de tres meses tras el período inicial, salvo acuerdo expreso, informado y separado.
5.- Sesiones y alcance de la mentoría
Cada mensualidad incluye hasta dos sesiones individuales de 60 minutos, que se programarán de común acuerdo. Durante el período inicial de tres meses, el Participante podrá recibir hasta seis sesiones.
Las sesiones pueden abordar, según las necesidades y prioridades profesionales del Participante, estrategia individual, portfolio, obra, posicionamiento, precios, estrategia de galerías, oportunidades, materiales profesionales y desarrollo de carrera.
La mentoría incluye revisión continuada de portfolio, obras y materiales profesionales cuando sea pertinente. También podrá incluir la revisión de biografía artística, declaración de artista, currículum, web, portfolio, precios, objetivos, convocatorias y materiales de presentación, pero no implica que todos estos elementos deban revisarse ni que se emita un documento formal respecto de cada uno.
El Participante recibirá un plan de acción estratégico personalizado, susceptible de ajustes razonables durante la mentoría. El feedback escrito podrá consistir en comentarios, recomendaciones, observaciones, notas estratégicas o instrucciones de seguimiento y no obliga a Metamorphose a emitir un informe formal tras cada sesión.
6.- Comunicación complementaria y disponibilidad
Entre sesiones, el Participante podrá comunicarse con el mentor por WhatsApp, mediante mensajes de texto o voz, exclusivamente sobre cuestiones relacionadas con la mentoría en curso.
Este canal es complementario a las sesiones y no supone disponibilidad permanente, respuesta instantánea, soporte 24/7 ni atención de urgencias. Metamorphose procurará responder en un plazo razonable de hasta dos días laborables, sin obligación de responder durante fines de semana, festivos, vacaciones, enfermedad, fuerza mayor u otras circunstancias profesionales inevitables.
7.- Programación, reprogramación y sesiones no utilizadas
El Participante podrá solicitar la reprogramación de un máximo de dos sesiones durante la duración inicial de tres meses, siempre que lo comunique con al menos 48 horas de antelación.
Una sesión cancelada con menos de 48 horas de antelación, o a la que el Participante no se incorpore dentro de los 15 minutos siguientes a la hora fijada, podrá considerarse realizada a efectos del cómputo de sesiones de la mensualidad correspondiente. Esta regla no se aplicará si concurre fuerza mayor, enfermedad u otra circunstancia excepcional razonablemente justificada.
Las sesiones no utilizadas dentro de la mensualidad a la que correspondan caducarán al término de dicha mensualidad y no serán acumulables, salvo acuerdo expreso de Metamorphose. Esta regla responde a la reserva de agenda, la preparación y la disponibilidad de recursos profesionales asociadas a cada mensualidad.
Si Metamorphose tuviera que aplazar una sesión por enfermedad, fuerza mayor u otra circunstancia profesional inevitable, propondrá una fecha alternativa razonable. Si no pudiera ofrecerla dentro de un plazo razonable, se aplicarán los remedios legalmente procedentes respecto de la prestación afectada.
8.- Grabación de sesiones
Las sesiones no se graban de forma automática. Cualquier grabación requerirá acuerdo previo, expreso y específico de ambas partes para la sesión concreta y se regirá por la información de protección de datos que corresponda.
9.- Derecho de desistimiento e inicio inmediato
El Participante que contrate como consumidor dispone, con carácter general, de un plazo de 14 días naturales desde la celebración del contrato para desistir sin necesidad de justificar su decisión. El desistimiento podrá comunicarse mediante declaración inequívoca dirigida a anastasia@metamorphose.gallery, utilizando, si lo desea, el formulario del Anexo I.
Cuando el Participante solicite que la mentoría se inicie antes de que finalice dicho plazo, Metamorphose deberá recabar separadamente: (i) una solicitud expresa de inicio inmediato de los servicios personales; (ii) el reconocimiento de que, si desiste tras el inicio, deberá abonar la parte proporcional de los servicios efectivamente prestados; y (iii) el consentimiento expreso al acceso inmediato a los contenidos y servicios digitales de Circle y el reconocimiento de las consecuencias legales sobre el desistimiento respecto de esa parte.
La parte proporcional se determinará atendiendo al precio total, a la mensualidad en curso y a los servicios efectivamente ejecutados, incluidos, en su caso, preparación, sesiones ya celebradas, revisión y feedback efectivamente prestados, sin exceder de lo permitido por la normativa aplicable.
El derecho de desistimiento solo se extinguirá respecto de las prestaciones completamente ejecutadas y cuando concurran los requisitos legales y las manifestaciones expresas exigibles. Metamorphose remitirá al Participante una confirmación en soporte duradero con esta información y con constancia de los consentimientos, cuando proceda.
10.- Reembolsos, cancelación y falta de conformidad
Las reglas de esta cláusula no limitan el desistimiento legal ni los derechos imperativos del consumidor.
Las cantidades correspondientes a mensualidades ya iniciadas, sesiones realizadas, agenda reservada, preparación, revisión o feedback efectivamente prestados no serán reembolsables por el mero hecho de que el Participante no alcance el resultado profesional esperado o decida dejar de utilizar el Programa, sin perjuicio de los derechos legales que puedan corresponderle.
En caso de cancelación ordinaria posterior al período inicial, no se generarán cargos por mensualidades futuras que no se hayan iniciado. Tampoco se exigirá automáticamente el pago anticipado de todas las mensualidades pendientes del período inicial como penalización por la resolución anticipada; Metamorphose conservará, no obstante, las cantidades ya devengadas y las acciones que legalmente procedan por incumplimiento acreditado.
Si existiera falta de conformidad de contenidos o servicios digitales, incumplimiento imputable a Metamorphose o resolución legalmente procedente, el Participante dispondrá de los remedios que establezca la normativa aplicable, incluida, cuando corresponda, la subsanación, reducción del precio, resolución o reembolso proporcional.
11.- Acceso a Circle
El Private Mentorship incluye el acceso a Circle correspondiente al nivel contratado únicamente mientras esté vigente y al corriente de pago la mentoría.
Al finalizar la mentoría, cesará el acceso específico del nivel Private Mentorship y este no se transformará automáticamente en otro plan de pago. El Participante podrá contratar separadamente otro plan de Circle si estuviera disponible.
Los materiales descargables que se hubieran entregado lícitamente durante los períodos abonados se regirán por las Condiciones Generales de Circle y por la licencia que estas establezcan.
12.- Oportunidades profesionales y ausencia de garantía de resultados
El objeto exclusivo del Private Mentorship es la mentoría, orientación estratégica y acceso a los recursos y funcionalidades expresamente incluidos. No compra ni garantiza representación artística, agencia, intermediación, exposición, inclusión en catálogos, participación en ferias, ventas, ingresos, contactos con coleccionistas o comisarios, cobertura de prensa, premios, becas, reconocimiento institucional, progresión profesional ni ningún otro resultado concreto.
Cualquier referencia en comunicaciones comerciales, sesiones, contenidos o intercambios a posibles oportunidades de visibilidad, exposición, ferias, catálogos, galerías, proyectos curatoriales o presentaciones a terceros tendrá carácter meramente eventual, discrecional y no garantizado. Tales oportunidades no forman parte de la prestación adquirida ni generan derecho, expectativa legítima, preferencia o compromiso de selección.
Toda decisión sobre representación, exposición, catálogo, adquisición, feria o proyecto curatorial se adoptará de manera independiente conforme a criterios curatoriales, calidad, idoneidad, disponibilidad y, en su caso, decisión de un tercero, jurado, comité u organización competente.
El Private Mentorship proporciona criterio profesional, análisis, retroalimentación y acompañamiento individual. Los resultados dependen del Participante y de factores externos del mercado, instituciones y terceros.
13.- Naturaleza de la orientación
La mentoría es un servicio de orientación profesional en el ámbito artístico y del mercado del arte. No constituye asesoramiento jurídico, fiscal, financiero, contable ni de inversión.
El Participante conserva la responsabilidad exclusiva por sus decisiones artísticas, comerciales, empresariales, fiscales, jurídicas, financieras y de inversión, así como por la ejecución de las recomendaciones recibidas.
14.- Obligaciones del Participante
El Participante se obliga a facilitar información sustancialmente veraz y los materiales razonablemente necesarios para la mentoría; asistir a las sesiones; respetar las normas de uso de Circle y de la comunidad; y adoptar un comportamiento profesional y respetuoso.
Quedan prohibidos el abuso, acoso, amenazas, conductas discriminatorias, uso ilícito de los contenidos, cesión de cuenta, redistribución no autorizada, vulneración de la confidencialidad y cualquier conducta que perjudique la seguridad, el funcionamiento, los derechos o la reputación de Metamorphose, de otros participantes o de terceros.
15.- Suspensión y resolución por incumplimiento
Metamorphose podrá suspender temporalmente el acceso a Circle, a la mentoría o a los canales de comunicación cuando existan indicios razonables de impago, fraude, uso ilícito, cesión de cuenta, redistribución no autorizada, vulneración de derechos de propiedad intelectual, incumplimiento de confidencialidad, abuso, acoso o incumplimiento grave de las obligaciones del Participante.
Cuando resulte necesario para impedir un perjuicio grave o actual, proteger la seguridad del Programa, preservar pruebas o detener una infracción manifiesta, la suspensión podrá adoptarse de forma inmediata. En los demás supuestos, Metamorphose comunicará el incumplimiento y concederá, cuando resulte razonable por su naturaleza, un plazo breve para formular alegaciones o subsanarlo.
Metamorphose podrá resolver el contrato cuando el incumplimiento sea grave, fraudulento, doloso, no subsanable o reiterado. La resolución por causa imputable al Participante no dará derecho al reembolso de las cantidades correspondientes a mensualidades ya iniciadas ni de los servicios ya efectivamente prestados, programados o preparados, sin perjuicio de los derechos imperativos del consumidor y de las acciones que legalmente correspondan por daños acreditados.
16.- Propiedad intelectual y materiales
Metamorphose conserva todos los derechos sobre sus metodologías, marcos de trabajo, materiales formativos, plantillas, sistemas estratégicos, contenidos de Circle y recursos escritos. La mentoría no transmite al Participante la titularidad de tales derechos.
El Participante recibe una licencia personal, no exclusiva, intransferible y no sublicenciable para utilizar los materiales y entregables recibidos exclusivamente para su propio desarrollo profesional. No podrá compartirlos, publicarlos, redistribuirlos, comercializarlos, utilizarlos como base sustancial de formación o mentoría propia, ni suprimir créditos o avisos de propiedad intelectual, sin autorización previa y escrita de Metamorphose.
El Participante conserva los derechos sobre sus obras, imágenes, textos, documentos, portfolio, ideas y demás materiales propios. Concede a Metamorphose únicamente una autorización limitada, no exclusiva y gratuita para utilizarlos en la medida necesaria para prestar la mentoría. Metamorphose no podrá realizar un uso público, promocional, publicitario o en redes sociales de esos materiales sin una autorización expresa y separada del Participante.
17.- Confidencialidad y datos personales
Ambas partes tratarán como confidencial la información no pública compartida en el marco de la mentoría, incluyendo obras no publicadas, portfolio, precios, estrategia profesional, información comercial, contactos y comunicaciones propias del Private Mentorship.
La obligación de confidencialidad no se aplicará a información pública sin infracción de este contrato, conocida legítimamente con anterioridad, recibida lícitamente de un tercero sin deber de reserva o cuya revelación resulte exigida por ley, requerimiento administrativo o resolución judicial. La obligación subsistirá durante tres años desde la finalización de la mentoría.
Los datos personales se tratarán de conformidad con la Política de Privacidad de Metamorphose y las Condiciones Generales de Circle. Stripe u otro proveedor habilitado gestionará los pagos. La información compartida durante la mentoría se utilizará exclusivamente para prestar el servicio, atender incidencias, cumplir obligaciones legales y gestionar eventuales reclamaciones, sin perjuicio de las finalidades y bases jurídicas detalladas en la Política de Privacidad.
18.- Responsabilidad
Metamorphose responderá de los daños directos y previsibles que sean consecuencia de un incumplimiento imputable de sus obligaciones contractuales, dentro de los límites permitidos por la normativa aplicable.
Metamorphose no responderá de daños indirectos, pérdida de oportunidades, lucro cesante, pérdida de ingresos, decisiones adoptadas por el Participante, resultados no garantizados ni perjuicios derivados de información incompleta, inexacta o ilícita facilitada por el Participante, salvo que una disposición imperativa establezca otra cosa.
Nada de lo previsto en este contrato excluye o limita la responsabilidad por dolo ni los derechos irrenunciables del consumidor, incluidos los derechos de desistimiento, conformidad, subsanación, reducción del precio, resolución o reembolso en los casos legalmente previstos.
19.- Reclamaciones, ley aplicable y jurisdicción
El Participante podrá dirigir consultas, incidencias o reclamaciones a anastasia@metamorphose.gallery o por escrito a Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688. Metamorphose acusará recibo y responderá en el plazo legalmente aplicable.
Si Metamorphose estuviera adherida a una entidad de resolución alternativa de litigios de consumo, identificará dicha entidad y facilitará la información legalmente exigible. La falta de adhesión voluntaria no limita el acceso del Participante a los mecanismos de reclamación o resolución extrajudicial legalmente disponibles.
Este contrato se rige por el Derecho español, sin perjuicio de las normas imperativas de protección que puedan corresponder al Participante consumidor en su lugar de residencia habitual. Cuando el Participante sea consumidor, las controversias se someterán a los órganos jurisdiccionales competentes conforme a las normas imperativas aplicables, sin renuncia a sus fueros de protección.
20.- Integridad, modificaciones y vigencia
Este contrato, las Condiciones Generales de Circle, la información del pedido y las condiciones particulares aceptadas expresamente constituyen el acuerdo íntegro entre las partes. Cualquier modificación del alcance, precio, duración o prestaciones deberá constar por escrito y ser aceptada expresamente por ambas partes, sin perjuicio de las actualizaciones permitidas por la normativa aplicable.
La nulidad o ineficacia de una cláusula no afectará a la validez de las restantes. La cláusula afectada se interpretará o sustituirá, cuando proceda, por otra válida que respete en la mayor medida posible su finalidad legítima y los derechos imperativos aplicables.

Anexo II.- Requisitos previos de contratación y operativa
Antes de publicar o utilizar el contrato, Metamorphose deberá:
completar los datos societarios, de contacto, desistimiento, baja y reclamaciones;
describir con precisión, en la página de venta y confirmación del pedido, los contenidos de Circle incluidos y las prestaciones personales de mentoría;
mostrar antes del pago el precio final de cada mensualidad, duración mínima de tres meses, coste total inicial de 4.500 €, periodicidad de los cargos, siguiente fecha de renovación y forma de baja;
emplear un botón de contratación que exprese inequívocamente la obligación de pago;
obtener y conservar, mediante casillas separadas y no premarcadas, la aceptación del contrato, la solicitud de inicio inmediato de la mentoría, el reconocimiento de pago proporcional ante desistimiento y el consentimiento al suministro inmediato de la parte digital con sus consecuencias legales;
enviar, en soporte duradero, confirmación del pedido, contrato, condiciones generales, información de desistimiento y formulario;
habilitar una vía de cancelación posterior al período inicial que sea sencilla y accesible, equivalente a la contratación;
conservar prueba de pagos, accesos, sesiones programadas, sesiones celebradas o no asistidas, comunicaciones de reprogramación y prestaciones efectivamente ejecutadas;
verificar la aplicación fiscal y facturación del componente digital y del componente personal conforme a la residencia y condición fiscal del Participante;
comprobar que publicidad, mensajes comerciales y onboarding no prometan ni sugieran resultados, representación, exposición, selección, ventas o introducciones incompatibles con la cláusula 12.

This agreement governs the individual mentoring component of Private Mentorship. It is supplemented by the Metamorphose Circle General Terms, which apply to platform access, digital content, the community, licensing of materials, privacy, cookies and general rules of conduct. In the event of any conflict, this agreement prevails only in relation to the individual mentoring, its duration, sessions, price and cancellation arrangements.
1.- Parties and Contract Formation
On the one hand, METAMORPHOSE AM 2023 SL, a limited liability company incorporated under Spanish law, with registered office at Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688, Spanish Tax ID (NIF) B13908975, registered in the Commercial Registry of Málaga, volume 6364, folio 89, page MA-175364, and email address anastasia@metamorphose.gallery (Metamorphose).
On the other hand, the natural or legal person who purchases Private Mentorship and whose details appear in the order (the Participant).
The contract is concluded when Metamorphose accepts the order and the first payment has been authorised. Before purchase, the Participant will be able to view and download this agreement and the Circle General Terms, identify and correct errors, and understand the total price of each monthly period, the minimum term, the renewal, cancellation and withdrawal rules, and the content of the service.
2.- Purpose and Nature of the Service
Private Mentorship is a professional service providing individual guidance and support in the fields of art and the art market. It includes access to Circle at the purchased level while the mentoring remains in force and the personal services described in this agreement.
The Programme has two distinct components:
temporary, personal and revocable access to the Circle digital content and features corresponding to the Private Mentorship level; and
personal mentoring services involving direct human input, review, feedback and individual sessions.
The current details of the digital content and spaces included must be stated expressly and comprehensibly on the checkout page and in the order confirmation. No feature or service that is not expressly identified forms part of the service purchased.
3.- Price, Taxes and Payment Structure
The fee is €1,500 for each monthly period, which is the final price shown to the Participant before purchase, inclusive of any indirect taxes legally applicable where required.
Taxation and invoicing will comply with current tax law, the nature of the digital and personal components of the service, and the Participant’s habitual residence and tax status. The Participant must supply accurate, complete and up-to-date residence and billing information.
The first payment is due on purchase. Subsequent fees will be charged in advance at the start of each new monthly period through Stripe or another payment provider identified during the purchase process. The date of each charge, the period it covers and the next due date will be shown before purchase and in the order confirmation.
Metamorphose does not store complete card details where they are processed directly by the payment provider.
4.- Initial Term, Renewal and Cancellation
Private Mentorship has a minimum initial term of three months, with a fee of €1,500 for each monthly period. The total initial financial commitment is therefore €4,500, billed in three monthly payments of €1,500, unless mandatory law provides otherwise.
During the initial term, the Participant may not freely terminate the agreement merely because the Participant wishes to stop using the Programme, without prejudice to the right of withdrawal and statutory grounds for termination, lack of conformity or breach attributable to Metamorphose. Non-use, non-attendance or failure to benefit from the service does not by itself cancel amounts already accrued.
After the initial three months, the agreement will renew for successive monthly periods. The Participant may cancel renewal at any time through the user area [CANCELLATION PATH] or by notifying anastasia@metamorphose.gallery, provided this is done before the next monthly period begins. Cancellation will take effect at the end of the period already paid for and will not incur a penalty.
No new three-month minimum commitment will begin after the initial term unless expressly, separately and on an informed basis agreed.
5.- Sessions and Scope of the Mentoring
Each monthly period includes up to two individual 60-minute sessions, scheduled by mutual agreement. During the initial three-month term, the Participant may receive up to six sessions.
Depending on the Participant’s professional needs and priorities, sessions may address individual strategy, portfolio, artwork, positioning, pricing, gallery strategy, opportunities, professional materials and career development.
The mentoring includes ongoing review of the portfolio, works and professional materials where relevant. It may also include review of the artistic biography, artist statement, curriculum vitae, website, portfolio, pricing, objectives, open calls and presentation materials, but does not require every item to be reviewed or a formal document to be issued for each one.
The Participant will receive a personalised strategic action plan, which may be reasonably adjusted during the mentoring. Written feedback may consist of comments, recommendations, observations, strategic notes or follow-up instructions and does not require Metamorphose to issue a formal report after each session.
6.- Supplementary Communication and Availability
Between sessions, the Participant may communicate with the mentor by WhatsApp text or voice message solely about matters relating to the current mentoring.
This channel supplements the sessions and does not imply continuous availability, an immediate response, 24/7 support or emergency assistance. Metamorphose will endeavour to respond within a reasonable period of up to two working days, with no obligation to respond during weekends, public holidays, holidays, illness, force majeure or other unavoidable professional circumstances.
7.- Scheduling, Rescheduling and Unused Sessions
The Participant may request the rescheduling of no more than two sessions during the initial three-month term, provided that at least 48 hours’ notice is given.
A session cancelled with less than 48 hours’ notice, or which the Participant does not join within 15 minutes after the scheduled start time, may be treated as completed for the purpose of counting the sessions in the relevant monthly period. This rule will not apply in the event of force majeure, illness or another reasonably justified exceptional circumstance.
Sessions not used during the monthly period to which they relate will expire at the end of that period and may not be carried over unless expressly agreed by Metamorphose. This rule reflects the reservation of diary time, preparation and availability of professional resources associated with each monthly period.
If Metamorphose must postpone a session because of illness, force majeure or another unavoidable professional circumstance, it will propose a reasonable alternative date. If no such date can be offered within a reasonable period, the remedies available by law will apply to the affected service.
8.- Recording of Sessions
Sessions are not recorded automatically. Any recording requires the parties’ prior, express and specific agreement for the particular session and will be governed by the relevant data-protection information.
9.- Right of Withdrawal and Immediate Commencement
A Participant acting as a consumer generally has 14 calendar days from conclusion of the agreement to withdraw without giving any reason. Withdrawal may be communicated by an unequivocal statement to anastasia@metamorphose.gallery, using the form in Annex I if desired.
Where the Participant requests that mentoring begin before that period expires, Metamorphose must obtain separately: (i) an express request for immediate commencement of the personal services; (ii) acknowledgement that, if the Participant withdraws after commencement, the Participant must pay a proportionate amount for the services actually provided; and (iii) express consent to immediate access to Circle’s digital content and services and acknowledgement of the legal consequences for withdrawal in respect of that part.
The proportionate amount will be determined by reference to the total price, the current monthly period and the services actually performed, including, where applicable, preparation, sessions already held, review and feedback actually provided, without exceeding what is permitted by applicable law.
The right of withdrawal will be extinguished only in respect of services fully performed and where the statutory requirements and required express declarations are satisfied. Metamorphose will send the Participant a confirmation on a durable medium containing this information and, where applicable, a record of the consents.
10.- Refunds, Cancellation and Lack of Conformity
The rules in this clause do not limit the statutory right of withdrawal or the consumer’s mandatory rights.
Amounts relating to monthly periods already begun, sessions held, reserved diary time, preparation, review or feedback actually provided are not refundable merely because the Participant does not achieve the expected professional result or decides to stop using the Programme, without prejudice to any statutory rights that may apply.
In the event of ordinary cancellation after the initial term, no charge will arise for future monthly periods that have not begun. Nor will advance payment of all outstanding monthly periods in the initial term automatically become due as a penalty for early termination; however, Metamorphose will retain amounts already accrued and any claims available by law for proven breach.
If digital content or services lack conformity, Metamorphose is in breach, or termination is legally available, the Participant will have the remedies prescribed by applicable law, including, where appropriate, remedy, a price reduction, termination or a proportionate refund.
11.- Access to Circle
Private Mentorship includes Circle access at the purchased level only while the mentoring remains in force and payments are up to date.
When the mentoring ends, access specific to the Private Mentorship level will cease and will not automatically convert to another paid plan. The Participant may purchase another Circle plan separately if available.
Downloadable materials lawfully supplied during paid periods will be governed by the Circle General Terms and the licence set out in them.
12.- Professional Opportunities and No Guarantee of Results
Private Mentorship is exclusively for mentoring, strategic guidance and access to the resources and features expressly included. It does not purchase or guarantee artistic representation, agency, intermediation, exhibition, inclusion in catalogues, participation in fairs, sales, income, contact with collectors or curators, press coverage, awards, grants, institutional recognition, professional advancement or any other specific result.
Any reference in marketing communications, sessions, content or exchanges to possible opportunities for visibility, exhibitions, fairs, catalogues, galleries, curatorial projects or introductions to third parties is merely potential, discretionary and not guaranteed. Such opportunities do not form part of the service purchased and do not create any right, legitimate expectation, preference or commitment to selection.
Every decision concerning representation, an exhibition, catalogue, acquisition, fair or curatorial project will be made independently based on curatorial criteria, quality, suitability, availability and, where applicable, the decision of a competent third party, jury, committee or organisation.
Private Mentorship provides professional judgement, analysis, feedback and individual support. Results depend on the Participant and on external factors involving the market, institutions and third parties.
13.- Nature of the Guidance
The mentoring is a professional guidance service in the fields of art and the art market. It does not constitute legal, tax, financial, accounting or investment advice.
The Participant retains sole responsibility for the Participant’s artistic, commercial, business, tax, legal, financial and investment decisions and for implementing the recommendations received.
14.- Participant Obligations
The Participant undertakes to provide substantially accurate information and the materials reasonably required for the mentoring, attend the sessions, comply with the Circle and community rules of use, and behave professionally and respectfully.
Abuse, harassment, threats, discriminatory conduct, unlawful use of content, account sharing, unauthorised redistribution, breach of confidentiality and any conduct that harms the security, operation, rights or reputation of Metamorphose, other participants or third parties are prohibited.
15.- Suspension and Termination for Breach
Metamorphose may temporarily suspend access to Circle, the mentoring or communication channels where there are reasonable indications of non-payment, fraud, unlawful use, account sharing, unauthorised redistribution, infringement of intellectual property rights, breach of confidentiality, abuse, harassment or serious breach of the Participant’s obligations.
Where necessary to prevent serious or ongoing harm, protect Programme security, preserve evidence or stop a manifest infringement, suspension may be imposed immediately. In other cases, Metamorphose will notify the breach and, where reasonable in light of its nature, allow a brief period to respond or remedy it.
Metamorphose may terminate the agreement where the breach is serious, fraudulent, intentional, incapable of remedy or repeated. Termination for a reason attributable to the Participant will not entitle the Participant to a refund of amounts relating to monthly periods already begun or services actually provided, scheduled or prepared, without prejudice to the consumer’s mandatory rights and any claims available by law for proven loss.
16.- Intellectual Property and Materials
Metamorphose retains all rights in its methodologies, frameworks, training materials, templates, strategic systems, Circle content and written resources. The mentoring does not transfer ownership of those rights to the Participant.
The Participant receives a personal, non-exclusive, non-transferable and non-sublicensable licence to use the materials and deliverables received solely for the Participant’s own professional development. Without Metamorphose’s prior written permission, the Participant may not share, publish, redistribute or commercialise them, use them as a substantial basis for the Participant’s own training or mentoring, or remove credits or intellectual property notices.
The Participant retains all rights in the Participant’s works, images, texts, documents, portfolio, ideas and other proprietary materials. The Participant grants Metamorphose only a limited, non-exclusive and royalty-free permission to use them to the extent necessary to provide the mentoring. Metamorphose may not use those materials publicly, for promotion or advertising, or on social media without the Participant’s separate express permission.
17.- Confidentiality and Personal Data
Both parties will treat as confidential the non-public information shared in connection with the mentoring, including unpublished works, portfolio materials, prices, professional strategy, commercial information, contacts and Private Mentorship communications.
The confidentiality obligation does not apply to information that becomes public without breach of this agreement, was lawfully known beforehand, was lawfully received from a third party without a duty of confidentiality, or must be disclosed by law, administrative request or court order. The obligation will continue for three years after the mentoring ends.
Personal data will be processed in accordance with the Metamorphose Privacy Policy and the Circle General Terms. Stripe or another enabled provider will handle payments. Information shared during the mentoring will be used solely to provide the service, address issues, comply with legal obligations and manage any complaints, without prejudice to the purposes and legal bases detailed in the Privacy Policy.
18.- Liability
Metamorphose will be liable for direct and foreseeable loss resulting from a breach of its contractual obligations attributable to Metamorphose, within the limits permitted by applicable law.
Metamorphose will not be liable for indirect loss, loss of opportunities, loss of profit, loss of income, decisions made by the Participant, results that are not guaranteed, or loss arising from incomplete, inaccurate or unlawful information supplied by the Participant, unless mandatory law provides otherwise.
Nothing in this agreement excludes or limits liability for wilful misconduct or the consumer’s non-waivable rights, including rights of withdrawal, conformity, remedy, price reduction, termination or refund in the cases provided by law.
19.- Complaints, Governing Law and Jurisdiction
The Participant may submit queries, report issues or make complaints to anastasia@metamorphose.gallery or in writing to Calle Río Guadalmina 1, bajo Izda, Estepona, Málaga, 29688. Metamorphose will acknowledge receipt and respond within the period required by law.
If Metamorphose participates in an alternative consumer dispute resolution body, it will identify that body and provide the information required by law. The absence of voluntary participation does not limit the Participant’s access to legally available complaint or out-of-court resolution mechanisms.
This agreement is governed by Spanish law, without prejudice to any mandatory protections applicable to a Participant acting as a consumer in the Participant’s place of habitual residence. Where the Participant is a consumer, disputes will be submitted to the courts having jurisdiction under applicable mandatory rules, without waiver of the Participant’s protective venue rights.
20.- Entire Agreement, Amendments and Effect
This agreement, the Circle General Terms, the order information and any specific terms expressly accepted constitute the entire agreement between the parties. Any amendment to the scope, price, duration or services must be made in writing and expressly accepted by both parties, without prejudice to updates permitted by applicable law.
If any clause is void or unenforceable, this will not affect the validity of the remaining clauses. The affected clause will, where appropriate, be interpreted or replaced by a valid provision that preserves its legitimate purpose and the applicable mandatory rights to the greatest extent possible.

Annex II.- Pre-Contract and Operational Requirements
Before publishing or using this agreement, Metamorphose must:
complete the company, contact, withdrawal, cancellation and complaints details;
describe precisely, on the sales page and in the order confirmation, the Circle content included and the personal mentoring services;
before payment, display the final price of each monthly period, the minimum three-month term, the total initial cost of €4,500, billing frequency, next renewal date and cancellation method;
use a purchase button that states the payment obligation unambiguously;
obtain and retain, through separate unticked boxes, acceptance of the agreement, the request for immediate commencement of the mentoring, acknowledgement of proportionate payment on withdrawal, and consent to immediate supply of the digital component with its legal consequences;
send, on a durable medium, the order confirmation, agreement, general terms, withdrawal information and form;
provide a post-initial-term cancellation method that is simple and accessible and equivalent to the contracting process;
retain evidence of payments, access, scheduled sessions, sessions held or missed, rescheduling communications and services actually performed;
verify the tax treatment and invoicing of the digital and personal components according to the Participant’s residence and tax status;
check that advertising, marketing messages and onboarding do not promise or suggest results, representation, exhibition, selection, sales or introductions inconsistent with clause 12.
